This document is an official proposal (public offer) by AM Lighting to enter into a supply agreement for lighting products on the terms set out below.
This Agreement is an official proposal (public offer) by AM Lighting (the "Supplier") to legal entities and sole proprietors (the "Buyer") to enter into a supply agreement for luminaires and related products on the terms set out below. Acceptance of the offer is deemed to occur upon payment of the issued invoice or upon signing of a specification/delivery note by the parties.
The Supplier undertakes to transfer ownership of lighting products (the "Goods") to the Buyer in accordance with a specification agreed by the parties, and the Buyer undertakes to accept and pay for the Goods on the terms of this Agreement.
The price of the Goods is set out in the specification/invoice based on the Supplier's price list in effect on the invoice date. Payments are made by bank transfer in Russian rubles, unless otherwise agreed by the parties.
Goods are delivered anywhere in Russia by a method agreed by the parties (self-pickup, carrier, courier delivery). The delivery timeline is specified in the specification and is counted from the date of invoice payment, unless otherwise agreed.
The Supplier provides a warranty for the Goods in accordance with the warranty card/technical documentation for the specific model. The warranty does not cover damage resulting from a breach of installation, operation, or storage rules.
The parties are liable for failure to perform or improper performance of their obligations under this Agreement in accordance with applicable Russian law.
The parties are released from liability for partial or complete failure to perform obligations under the Agreement if it resulted from circumstances of insurmountable force arising after the Agreement was concluded.
All disputes and disagreements under this Agreement are resolved through negotiation, and failing agreement, in accordance with the procedure established by Russian law, at the Supplier's place of business.
